Stardust Acrylics Ambassador Program Terms and Conditions

1. Operator of the Ambassador Program

The Stardust Acrylics Ambassador Program is operated by:

hereinafter referred to as "Stardust Acrylics."

These terms and conditions govern the use of the partner portal used by Stardust Acrylics, the assignment of referred orders, the calculation and settlement of commissions, and the general requirements for participation in the Ambassador Program.

The person or company admitted to the Ambassador Program is hereinafter referred to as "Ambassador."

In addition, the individually concluded Ambassador Agreement applies to each Ambassador.

In case of contradictions, the following order of precedence applies:

individual entries and agreements in the Ambassador Agreement;

the remaining provisions of the Ambassador Agreement;

these terms and conditions;

individual campaign briefings confirmed by the Ambassador in text form.

2. Purpose of the Program

Selected Ambassadors present and recommend Stardust Acrylics products on the agreed social media channels.

The Ambassador may receive a personal partner link and/or a personal discount code for this purpose.

For properly referred and qualified orders, the Ambassador receives a commission in accordance with:

the individually concluded Ambassador Agreement;

the settings stored in the partner portal;

these terms and conditions.

The type, scope, and frequency of content services to be provided by the Ambassador are determined by the individually concluded Ambassador Agreement.

Participation does not establish an employment relationship, commercial agency, partnership, agency, or other power of representation.

3. Requirements for Participation

Only natural persons of legal age and companies are eligible to participate, who:

  • are at least 18 years old and fully legally competent;
  • are self-employed, commercially active, or operate in a comparable entrepreneurial form;
  • have their company or business domicile in a member state of the European Union;
  • have verifiable company, trade, or tax registration;
  • have a valid EU VAT identification number or VAT ID if their company or business domicile is outside Austria;
  • are legally authorized to provide advertising, content, and mediation services;
  • provide all required company, tax, billing, and payment data completely;
  • are solely responsible for fulfilling the required trade, tax, and social security obligations.

Participation as a private person without sufficient entrepreneurial and tax registration is excluded.

Stardust Acrylics is entitled to verify a provided or for billing purposes required VAT identification number via the European VIES system or a comparable official procedure.

Stardust Acrylics may request additional proof, in particular:

  • trade or company documents;
  • register excerpts;
  • proof of self-employment;
  • national tax, company, or registration numbers;
  • proof of tax and VAT status;
  • proof of business address;
  • further information required for proper billing.

The Ambassador is obliged to inform Stardust Acrylics immediately if:

  • their company status changes;
  • their business address changes;
  • their tax domicile changes;
  • their provided or for billing purposes required VAT identification number changes, is restricted, or becomes invalid;
  • their VAT status changes;
  • their self-employment or entrepreneurial activity is terminated.

If the Ambassador cannot sufficiently prove their entrepreneurial and tax registration or if a provided or for billing purposes required VAT identification number is not valid, Stardust Acrylics may:

  • reject the application;
  • postpone admission;
  • temporarily suspend the partner account;
  • withhold commissions until full clarification;
  • terminate the cooperation.

The application does not constitute a right to be admitted to the Ambassador Program.

Stardust Acrylics may accept or reject applications without stating reasons.

4. Application, Acceptance, and Ambassador Account

Interested persons and companies apply via the application form provided by Stardust Acrylics or via another application method offered by Stardust Acrylics.

After successful review and explicit acceptance, the applicant will receive the further contract documents and, if applicable, access to the GoAffPro partner portal used.

The cooperation particularly requires:

explicit acceptance by Stardust Acrylics;

conclusion of the individual Ambassador Agreement;

acceptance of these terms and conditions;

complete submission of the required company, tax, billing, and payment data;

setup and activation of the partner account.

The Ambassador is obliged to keep all information stored in the partner portal accurate, complete, and up-to-date.

Access data must be protected from unauthorized third-party access.

Ambassador accounts may not be:

transferred;

sold;

rented;

passed on to other persons;

used jointly with other persons without the consent of Stardust Acrylics.

Stardust Acrylics may at any time request additional information or proof of identity, company, social media channels, publications, or the traffic sources used.

5. Acceptance of Terms and Conclusion of Contract

The Ambassador accepts these terms and conditions by activating the corresponding checkbox during registration in the partner portal.

The actual Ambassador cooperation only comes into effect when:

the individual Ambassador Agreement has been concluded;

these terms and conditions have been accepted;

the partner account has been activated by Stardust Acrylics.

Mere application, registration, or acceptance of these terms and conditions does not yet constitute a right to:

admission to the Ambassador Program;

activation of the partner account;

product packages;

commissions;

discount codes;

other services or benefits.

Contractual declarations can, unless a stricter legal form is required, also be made in text form.

A clear email is generally sufficient for this.

6. Commission

The amount of the commission is individually determined for each Ambassador.

The applicable commission rate results from:

the Ambassador Agreement;

the partner portal;

another agreement in text form.

Unless otherwise agreed in the Ambassador Agreement, the commission is calculated based on the commissionable net merchandise value.

The commissionable merchandise value is calculated:

after deduction of applied discounts;

excluding VAT;

excluding shipping costs;

excluding payment or other fees;

excluding gift vouchers and gift cards;

excluding non-commissionable products or services.

The commission rate displayed in the partner portal applies to orders referred from the time of the respective setting, unless otherwise agreed in the Ambassador Agreement.

Changes to the commission rate do not apply retroactively to orders already properly referred and commissionable.

The previous granting of a specific commission does not create a right to an unchanged future commission rate.

7. Customer Discount

The Ambassador may receive a personal discount code.

The amount of the customer discount is individually determined and results from:

the Ambassador Agreement;

the partner portal;

the respective discount code setting;

another agreement in text form.

Stardust Acrylics may:

exclude individual products or collections from the discount;

set specific minimum order values;

prohibit combination with other discount promotions;

temporarily deactivate discount codes;

limit the duration of discount promotions;

change the amount of the customer discount with effect for the future;

deactivate discount codes upon termination of cooperation.

The discount code may only be used and published within the framework of these terms and conditions and the Ambassador Agreement.

The personal discount code may not be sold, transferred, or permanently given to other persons for their own marketing.

8. Requirements for a Qualified Order

An order is commissionable if:

it was properly assigned via the personal partner link or discount code;

it was fully paid;

it was not canceled;

no full or partial return occurred;

no full or partial refund occurred;

no chargeback or payment dispute occurred;

no abuse, fraud, or violation of these terms exists;

the Ambassador did not trigger or cause the order themselves, or via an account controlled by them, a false identity, or a fictitious third party.

The technical assignment in the GoAffPro system used is generally decisive.

In the case of contradictory assignments, multiple partner links, or discount codes used, the assignment recorded in the system generally applies, unless an obvious technical error is proven.

Stardust Acrylics is entitled to manually correct obvious technical or factual errors after review.

A claim for commission arises only after the expiry of the stipulated waiting period and final approval of the order.

9. Tracking and Assignment

The tracking period for assignment via a personal partner link is generally 30 days from the qualified click.

An assignment via a partner link may not occur, in particular, if:

cookies or other required tracking technologies are not accepted;

cookies are deleted;

another partner link is used;

another discount code is entered;

the device or browser is changed;

tracking or ad blockers are used;

the order cannot be technically assigned comprehensibly.

An assignment via a personal discount code manually entered by the customer can also occur without an affiliate cookie, provided that the discount code is technically recorded correctly and assigned to the Ambassador.

Stardust Acrylics does not owe commission for orders that cannot be assigned to an Ambassador technically or based on other clear evidence.

Obvious technical errors can be manually corrected after review.

There is no right to a specific technical tracking method.

10. Non-Commissionable Orders

No commission is granted, in particular, for:

Ambassador's own orders;

orders placed through accounts controlled by the Ambassador;

orders placed under a false identity;

orders that the Ambassador places or pays for themselves for other persons;

orders placed exclusively or predominantly to generate a discount or commission;

canceled or unpaid orders;

fully or partially returned products;

fully or partially refunded orders;

chargebacks and payment fraud;

gift vouchers and gift cards;

shipping costs, taxes, and other fees;

test orders;

manipulated or fraudulently generated orders;

orders placed using unlawfully published discount codes;

automatically generated clicks, orders, or accounts;

orders that violate these terms and conditions or the Ambassador Agreement.

Orders from family members, friends, or other persons are not excluded solely due to this personal relationship.

However, they are not commissionable if the Ambassador:

places the order themselves;

pays for the order themselves;

controls or initiates the order;

reimburses the buyer for the purchase price;

the order predominantly serves to generate a discount or commission.

In the case of partial refunds or partial returns, the commission will be reduced accordingly.

Commissions already approved or paid out can be subsequently corrected, offset against future claims, or reclaimed if it later turns out that the respective order was not commissionable.

11. Commission Approval, Credit Note Procedure, and Payout

Commissions are initially reserved for a waiting period of 30 days.

After the waiting period, only commissions are approved for which no:

cancellation;

return;

refund;

chargeback;

payment dispute;

abuse review;

other exclusion criterion

exists.

Credit Note Procedure

The settlement of approved commissions is carried out using the credit note procedure.

The Ambassador agrees that Stardust Acrylics will create a credit note for the advertising, content, and mediation services provided by them.

The credit note will generally be made available to the Ambassador electronically, in particular by email or via the partner portal.

The Ambassador expressly agrees to the electronic transmission of credit notes.

Stardust Acrylics generally creates a monthly credit note for the commissions finally approved in the respective billing period.

The credit note is created regardless of whether the minimum balance required for the actual payout has already been reached.

For services and billing periods that Stardust Acrylics settles using the credit note procedure, the Ambassador does not issue any additional invoice themselves.

The Ambassador is obliged to check the received credit note immediately.

Incorrect information, an inaccurate VAT status, or other objections to the credit note must be communicated to Stardust Acrylics immediately in text form.

Required Billing Data

The Ambassador submits the following to Stardust Acrylics before the first billing:

  • their full legal name or company name;
  • their complete business address;
  • the country of their company or business domicile;
  • their national tax, trade, company, or registration number;
  • their valid EU VAT identification number or VAT ID if their company or business domicile is outside Austria;
  • their VAT identification number, if available or legally required for billing, if their company or business domicile is in Austria;
  • their current VAT status, in particular, information on whether a small business exemption is applied;
  • their preferred payout method;
  • the required bank or PayPal data;
  • further information and proof required for proper billing.

Billing or payout may be withheld as long as the required information:

is missing;

is incomplete;

is contradictory;

has not been sufficiently proven;

could not be successfully verified.

VAT Treatment

The VAT treatment is based on the applicable legal provisions and the information provided and verified by the Ambassador.

For Ambassadors with a company headquarters outside Austria, invoicing is net under the reverse charge procedure, provided the legal requirements are met.

In this case, the credit note shall specifically include:

the VAT identification number of Stardust Acrylics;

the VAT identification number of the Ambassador;

a note on the transfer of the tax liability to the recipient of the service;

no separate VAT statement.

For Ambassadors with a company headquarters in Austria, the VAT is treated according to the Ambassador's verified VAT status.

The Ambassador is liable for the accuracy and up-to-dateness of the company and tax data provided by them.

Payout

Actual payouts are generally made:

once a month;

from a released minimum balance of 50 Euros;

via SEPA bank transfer in Euros, PayPal, or another payment method offered by Stardust Acrylics;

only after complete submission and successful verification of all required billing, tax, and payment data.

If the minimum balance of 50 Euros is not reached, the unpaid amount will be carried over to the next payout period.

The credit note already issued remains unaffected.

Any fees charged by the recipient bank, the payment service provider, or for currency conversions shall be borne by the Ambassador, provided that these:

were communicated in advance;

arise from the chosen payment method;

are outside the control of Stardust Acrylics.

Commissions already paid out, which are not commissionable due to a subsequent refund, chargeback, incorrect assignment, manipulation, or misuse, may be:

offset against future claims;

corrected by an adjustment of the billing;

reclaimed from the Ambassador.

12. Entrepreneurial and Tax Responsibility

The Ambassador confirms that all services are rendered within the scope of their independent, commercial, or other entrepreneurial activity.

The Ambassador is solely responsible for:

the necessary trade, business, and tax registration;

income tax or corporate tax;

VAT and other tax declarations;

social security contributions;

other official obligations;

the declaration of monetary and in-kind benefits;

the accuracy of the company and tax data provided to Stardust Acrylics;

the tax treatment of the received commissions, products, and other benefits in their country of residence.

The Ambassador is obliged to inform Stardust Acrylics immediately if:

their VAT status changes;

their stated or for billing purposes required VAT identification number changes, is restricted, or becomes invalid;

their independent or entrepreneurial activity is terminated;

the location of their company headquarters changes;

other changes relevant to billing occur.

Stardust Acrylics does not provide individual tax, business, social security, or legal advice.

13. Permitted Advertising and Product Communication

The Ambassador may present and recommend Stardust Acrylics, in particular, through the following channels:

Instagram;

TikTok;

YouTube;

own websites or blogs;

newsletters with a legitimate recipient base;

Pinterest;

other social media channels agreed upon with Stardust Acrylics.

Advertising must be:

authentic;

truthful;

professional;

legally permissible;

consistent with the official product information of Stardust Acrylics.

The Ambassador may not make any statements that are:

misleading or demonstrably false;

deviate from official product information;

contain unproven health or safety promises;

describe products as "non-toxic", "allergy-free", "completely harmless" or with similar absolute statements;

contain unsubstantiated ingredient claims;

falsely suggest official certification, approval, or recommendation;

promise medical effects;

disparage Stardust Acrylics, customers, competitors, or other persons;

violate legal advertising regulations or platform rules.

Information such as "HEMA-free", "TPO-free", "Di-HEMA-free", "vegan" or comparable statements may only be used if explicitly confirmed by Stardust Acrylics for the specific product being advertised.

Comparisons with Competitors

The Ambassador may not directly or indirectly compare Stardust Acrylics or its products with identifiable competitors or their products without prior written approval.

Specifically, the Ambassador may not, without prior approval:

name competitors;

tag competitors;

depict competitors or their products;

use competitor brands or product images;

publish comparative durability, quality, price, or safety tests;

disparage competitor products.

Comparisons explicitly approved by Stardust Acrylics must be:

objective;

objectively verifiable;

current;

complete;

not misleading;

not disparaging.

Personal opinions and testimonials must be clearly identifiable as such and may not be presented as objectively proven facts.

14. Advertising Labeling

The Ambassador must clearly label affiliate links, discount codes, free products, commissions, and other commercial benefits as advertising, in accordance with the applicable legal and platform-specific requirements.

In particular, the provisions of the following are decisive:

the Ambassador's company headquarters;

the location of the target audience;

the platform used.

The labeling must be:

clear;

understandable;

highly visible;

immediately recognizable;

clearly assigned to the respective content.

A nationally understandable and legally appropriate notice must be used, for example:

"Advertising";

"Ad";

"Affiliate Link";

"I receive a commission if you order via this link or code";

a legally equivalent designation in the respective country.

The labeling must not:

be hidden among numerous hashtags;

only become visible after opening additional text areas;

only appear at the end of a longer video;

be formulated in a misleading or obscure way.

Technical platform notices only replace a legally required advertising label if they are sufficient under the applicable law.

15. Prohibited Advertising and Sales Methods

Specifically prohibited are:

spam messages or unsolicited mass advertising;

illegal direct marketing;

misleading sweepstakes;

fake reviews or testimonials;

publication of the personal code on unauthorized coupon, cashback, or deal portals;

browser extensions or software that automatically inserts discount codes;

passing on to sub-affiliate networks without prior consent;

paid search engine advertising for the terms "Stardust Acrylics," "Stardustacrylics," or recognizable variations thereof;

domains, usernames, or social media profiles that falsely suggest official affiliation with Stardust Acrylics;

advertising alongside illegal, discriminatory, violence-glorifying, pornographic, or significantly reputation-damaging content;

artificially generated clicks, orders, or accounts;

self-referrals or circumvention of the self-purchase rule;

publication of internal or unapproved information;

sharing of personal partner access data;

manipulation of tracking;

misuse of discount codes;

falsely claiming representation authority for Stardust Acrylics.

Sharing the personal discount code and partner links on one's own authentic and permissible social media channels is allowed.

16. Use of Trademarks, Images, and Content

For the duration of the active cooperation, Stardust Acrylics grants the Ambassador a simple, revocable, non-transferable, and non-sublicensable right to use explicitly provided:

logos;

product images;

product texts;

banners;

brand elements;

other advertising materials

exclusively for the contractual promotion of Stardust Acrylics.

Logos, product images, and other provided materials may not be, without prior consent:

changed in content;

falsified;

distorted;

combined with other brands;

used for other companies or products.

The Ambassador may identify themselves as "Stardust Acrylics Ambassador" during the active contract term.

This designation may not be used in such a way as to create the impression that the Ambassador is:

an employee of Stardust Acrylics;

a legal representative of Stardust Acrylics;

authorized to make binding statements on behalf of Stardust Acrylics;

authorized to change prices, delivery conditions, or other contract terms.

The rights of use for content created by the Ambassador themselves are governed by the individually concluded Ambassador agreement.

The Ambassador guarantees that they possess all necessary rights and licenses to the content they use.

This particularly applies to:

music;

videos;

photos;

graphics;

fonts;

texts;

trademarks;

personality rights of depicted persons;

other design elements.

The Ambassador may not use any content if its use or the contractual use by Stardust Acrylics is not sufficiently permitted.

Upon justified request, the Ambassador must provide suitable proof of the necessary rights and licenses.

If legitimate claims are asserted against Stardust Acrylics due to an infringement of these obligations culpably caused by the Ambassador, the Ambassador shall indemnify and hold Stardust Acrylics harmless to the extent legally permissible with regard to:

reasonable license fees;

damage claims;

necessary legal defense costs.

This does not apply if Stardust Acrylics itself caused the infringement, continued an unauthorized use despite timely notice, or altered or used content contrary to the agreed usage rights.

17. Content Services and Product Packages

The type, scope, frequency, and duration of the content services to be provided by the Ambassador are determined by the individually concluded Ambassador agreement.

The Ambassador is obliged to provide the agreed content services completely and within the agreed periods.

The content obligations exist according to the Ambassador agreement even if Stardust Acrylics does not provide in the respective month:

any new products;

any new product package;

any separate campaign.

The Ambassador may use existing Stardust Acrylics products for the agreed content.

The type and scope of any free or discounted product packages will be agreed upon separately in text form.

Inclusion in the Ambassador program does not automatically create a claim to:

regular product packages;

a specific number of free products;

products of a specific value;

reimbursement for independently ordered products;

reposts or mentions by Stardust Acrylics;

paid advertising campaigns;

other additional remunerations.

The conditions for the return of conditionally provided or marked as loaned products are governed by the Ambassador agreement or the agreement made in text form before shipment.

18. Data Protection and GoAffPro

The personal data of the Ambassador is processed in particular for:

processing the application;

checking the eligibility criteria;

managing the Ambassador account;

verifying a stated or for billing purposes required VAT identification number;

technical assignment of sales;

calculation and billing of commissions;

creation and transmission of credit notes;

execution of payouts;

communication and contract management;

abuse and fraud prevention;

fulfillment of tax and legal obligations.

The utilized partner portal GoAffPro processes, as part of its service, among other things:

registration data;

contact data;

payment and commission data;

device and technical data;

tracking data;

partner link and discount code data;

order assignments.

The Ambassador is obliged not to transmit any impermissible personal data of customers or other persons to Stardust Acrylics or via the partner portal.

19. Control and Abuse Review

Stardust Acrylics is entitled to:

review Ambassador activities;

request proof of publications;

request publication links or screenshots;

review traffic sources;

temporarily block suspicious commissions;

check orders for manipulation;

review company and tax data;

have illegal, impermissible, or brand-damaging content removed;

temporarily suspend partner accounts.

In case of justified suspicion of abuse, billing or payout may be withheld until the review is completed.

In case of proven fraud, intentional manipulation, or serious violations, Stardust Acrylics is entitled to:

reject affected commissions;

cancel already approved commissions;

reclaim already paid amounts;

offset amounts against future claims;

deactivate discount codes and partner links;

suspend the partner account;

terminate the cooperation with immediate effect;

claim further damages.

20. Term and Termination

The cooperation begins with:

the conclusion of the individual Ambassador agreement;

the acceptance of these terms of participation;

the activation of the partner account.

The term and termination are primarily governed by the Ambassador agreement.

Both parties can terminate the cooperation in text form, in particular by email, in accordance with the Ambassador agreement.

Stardust Acrylics may provisionally suspend the partner account with immediate effect or terminate the cooperation for good cause, in particular if:

false information has been provided;

the eligibility criteria are no longer met;

a stated or for billing purposes required VAT identification number is invalid;

required proofs are not submitted;

advertising or labeling obligations are violated;

fraudulent or manipulative acts occur;

the Ambassador repeatedly fails to provide the agreed content services;

the reputation of Stardust Acrylics is significantly damaged;

confidential information is published;

third-party rights are violated;

any other material contractual obligation is violated.

Upon termination, the Ambassador must cease further use of:

Stardust Acrylics advertising materials;

logos;

active partner links;

discount codes;

the designation as an active Stardust Acrylics Ambassador.

Usage rights already granted for Ambassador content remain in effect according to the Ambassador agreement.

Future content obligations and limited exclusivity end according to the Ambassador agreement.

Properly accrued and commissionable claims will be taken into account in the next regular billing run after final review.

Cancellations, refunds, chargebacks, cases of abuse and other corrections are reserved.

21. Changes to the Program and Terms and Conditions

Stardust Acrylics may change the Ambassador Program, technical tracking rules, payment methods or these Terms and Conditions with future effect.

Material changes will generally be communicated to the Ambassador at least 14 days before they come into effect:

by email;

via the partner portal;

by other permanently available electronic means.

Commissions, content services or other contractual conditions individually agreed in the Ambassador contract are not automatically changed by a general change to these terms and conditions.

Reductions in commissions do not apply retroactively to orders that have already been properly referred and are commissionable.

If the Ambassador does not agree with a material change, they may terminate the collaboration before the change comes into effect.

Short-term changes remain permissible if they are necessary due to:

legal requirements;

official requirements;

security problems;

technical necessities;

fraud or abuse prevention.

22. Program Availability

Stardust Acrylics does not guarantee that:

the partner portal will be available without interruptions at all times;

every click will be technically recorded;

every order will be automatically assigned;

certain sales or revenues will be achieved;

a specific discount code will be offered permanently;

certain products will be permanently available;

the Ambassador program will be continued permanently unchanged.

Stardust Acrylics endeavors to adequately review and, where possible, correct demonstrably proven technical errors.

Temporary technical failures do not give rise to any claim to estimated or unverifiable commissions.

23. Liability

Stardust Acrylics is liable according to statutory provisions for:

damages caused intentionally;

damages caused by gross negligence;

personal injury;

other cases of mandatory statutory liability.

In cases of slight negligence, Stardust Acrylics is only liable for the violation of essential contractual obligations and only for typically foreseeable damage, insofar as this is legally permissible.

Liability for lost, non-guaranteed Ambassador or affiliate revenues is excluded unless there is intentional or grossly negligent conduct on the part of Stardust Acrylics.

Stardust Acrylics is particularly not liable for failed tracking due to:

rejected or deleted cookies;

browser settings;

ad or tracking blockers;

device changes;

actions of third parties;

technical malfunctions beyond the control of Stardust Acrylics.

Mandatory statutory liability provisions remain unaffected.

The Ambassador's responsibility for their own content, advertising statements, labeling and third-party rights remains.

24. Independent Activity

The Ambassador acts independently and on their own responsibility.

Subject to the content services, publication periods, campaign specifications and other contractual obligations agreed in the Ambassador contract, the Ambassador generally decides independently on:

their working hours;

their place of work;

the creative implementation of the content;

the technical creation of the content;

their other entrepreneurial activity.

This contract does not establish an employment relationship.

The Ambassador is not entitled to:

conclude contracts on behalf of Stardust Acrylics;

make binding commitments for Stardust Acrylics;

change prices or delivery conditions;

promise refunds or guarantees;

act as an employee or legal representative of Stardust Acrylics towards third parties;

incur obligations on behalf of Stardust Acrylics.

25. Confidentiality

Non-public information, in particular about:

new products;

unpublished collections;

recipes or technical product data;

purchase or manufacturing prices;

internal sales figures;

planned market launches;

discount campaigns;

campaigns;

individual contractual or commission conditions;

internal documents and communication

may not be published or passed on to third parties without prior consent from Stardust Acrylics.

The duty of confidentiality does not apply to information that:

is already lawfully publicly known;

must be disclosed due to a legal or official obligation.

Insofar as legally permissible, the duty of confidentiality remains in force even after the termination of the cooperation.

26. Final Provisions

Austrian law applies, excluding its conflict of laws provisions and the UN Convention on Contracts for the International Sale of Goods.

Mandatory statutory protective provisions of the state in which the Ambassador has their company or habitual residence remain unaffected, insofar as these are mandatorily applicable.

Insofar as legally permissible and both contracting parties are entrepreneurs, the materially competent court at the registered office of Stardust Acrylics is agreed as the exclusive place of jurisdiction.

Should any provision of these terms and conditions be or become invalid or unenforceable, the remaining provisions shall remain valid.

The applicable legal provisions shall replace an invalid or unenforceable provision.

Ancillary agreements, amendments and individual special agreements require at least text form, unless a stricter form is legally prescribed.

Text form particularly includes a clear agreement by email.
